Skimmark End User License Agreement and Refund Policy

Skimmark is in development and is not yet available to download or buy. This EULA and Refund Policy apply once it is. In this EULA, skimmark.com is the "Site".

This End User License Agreement ("EULA") is between you and YOB Holdings LLC ("we", "us"). It covers the Skimmark desktop app, its updates, and its documentation (together, the "Software"). By installing or using the Software, you agree to this EULA. If you do not agree, do not install or use it.

Once Skimmark is released, a link to this EULA will appear on the Gumroad product page and on the download page.

Part A. License

1. Definitions

  • Trial: free use of the Software with all features, for a planned 14 days from first launch on a device.
  • License Key: the key you get from Gumroad when you buy the Software.
  • Device Slot: one of the devices a License Key may be active on at a time (planned: up to 3).
  • Read-Only Mode: the state the Software enters when there is no valid Trial or License Key. Your files still open and display, but new edits are off.

2. What we license to you

The Software is licensed, not sold. Subject to this EULA, we give you a non-exclusive, non-transferable right to:

  • During the Trial: install and use the Software on a device to try it.
  • With a License Key: install and use the Software on up to 3 devices at a time.
  • In Read-Only Mode: keep using the Software to open and read your files.

One License Key is for one person, on up to 3 of their own devices.

You may use the Software for personal or commercial work.

3. Device Slots

  • Activating a License Key on a new device uses one Device Slot.
  • Re-entering the key on a device that is already active, and the routine re-checks, do not use another slot.
  • If a key is already active on 3 devices, a fourth device will not activate. Write to us through the contact form at skimmark.com/contact and we may be able to free a slot.
  • Reinstalling may count as a new device if the App's local data was removed. Write to us through the contact form at skimmark.com/contact and we may be able to free the old slot.

4. License checks and offline use

An activated device re-checks its License Key with Gumroad about every 7 days. If the check cannot connect, the Software keeps working for 14 days after the last successful check. After that it moves to Read-Only Mode until a check succeeds. A successful check restores full use right away.

License checks and Read-Only Mode never delete your files or block you from opening them. If the Software enters Read-Only Mode while you have unsaved edits, you can still save those edits once.

5. Updates

The license includes free updates for version 1.x. Future major versions may be offered as a paid upgrade.

As planned, the Software checks skimmark.com for updates and downloads them in the background. It installs an update when you click "Restart to update" or, if you do not, when you quit. On Linux, a .deb update needs your system administrator password, so it installs only when you click "Restart to update", never at quit. You can turn the automatic check off in settings. Each update is checked against our signing key before it installs. We are not required to release any update, feature, or fix.

6. What you may not do

You may not, and may not help anyone else to:

  • share, sell, or publish a License Key, or use one key on more devices than allowed;
  • get around, disable, or fake the license checks or Read-Only Mode;
  • copy, sell, rent, lend, or redistribute the Software, except for backup copies for your own use;
  • download or distribute the Software from anywhere other than skimmark.com;
  • reverse engineer, decompile, or disassemble the Software, except where the law allows it despite this limit;
  • remove our copyright or trademark notices;
  • use the Software to break the law.

7. Ownership

We and our licensors own the Software and all rights in it. Skimmark is not open source. This EULA gives you only the rights stated in it.

Your files are yours. We claim no rights in the files you open, edit, or create with the Software.

8. Third-party components

The Software includes open-source components that come with their own licenses. Those licenses govern those components, and nothing in this EULA limits your rights under them. Their notices are in the App's About screen.

9. Privacy

The Software does not send telemetry, analytics, or crash reports. Its only network calls are the license check and the update check and download. See the Skimmark Privacy Policy for details.

10. Ending this license

This EULA lasts until it ends. You can end it any time by deleting the Software. Your paid license ends if:

  • you break this EULA; or
  • the purchase is refunded or charged back, or Gumroad or we turn off the License Key for misuse.

When a paid license ends, the Software moves to Read-Only Mode on your devices. Sections 6, 7, 11, 12, 13, and 14 continue after the license ends.

11. Warranty disclaimer

To the fullest extent the law allows, the Software is provided "as is" and "as available", with all faults. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not promise the Software will be error-free or work without interruption.

Back up your files. The Software is designed to keep unchanged lines of your files exactly as they were, and to never lose unsaved edits. Still, software can fail. Keep your own backups.

Some places do not allow these disclaimers. If you live in one, some of them may not apply, and you may have rights this EULA cannot take away.

12. Limit of liability

To the fullest extent the law allows:

  • we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from the Software or this EULA, even if we were told they were possible; and
  • our total liability for all claims about the Site, the Software, the Terms of Service, this EULA, or your purchase, combined, is limited to the greater of the amount you paid for Skimmark or US $50.

These limits do not apply where the law does not allow them, such as liability for fraud or, in some places, for death or personal injury caused by negligence.

13. Export

You agree to follow US export control and sanctions laws that apply to the Software. You confirm you are not in, or acting for someone in, a country or on a list where those laws bar you from getting the Software.

14. Governing law and disputes

Governing law and disputes are handled as set out in section 14 (Disputes) of the Terms of Service.

15. Other terms

  • This EULA, the Refund Policy below, the Terms of Service, and the Privacy Policy are the whole agreement about the Software.
  • If a court finds part of this EULA unenforceable, the rest stays in effect.
  • If we do not enforce a right, we have not given it up.
  • You may not transfer this EULA or your License Key. We may transfer it as part of a sale or reorganization of the business.
  • We may update this EULA. Changes apply only to versions released after the change.

Part B. Refund Policy

16. Try first

Once Skimmark is released, every device will get a free Trial with all features. Please use it to make sure the Software works for you before you buy.

17. Asking for a refund

You can ask for a full refund within 30 days of your purchase. Write to us through the contact form at skimmark.com/contact with your order email or receipt. You do not need to give a reason.

Refunds are paid through Gumroad to your original payment method. Gumroad's processing times apply.

After the 30-day window: none, except where the law requires.

18. What happens after a refund

When a purchase is refunded or charged back, the License Key is turned off. At its next license check, each device on that key moves to Read-Only Mode. A refund does not delete your files; they still open and display.

19. Your legal rights

This Refund Policy does not limit any refund or cancellation rights you have under the law where you live.
